Yes there is a difference.
The first file is based upon the classic Mighty Empires Rules (which were produced in the 90ies if I'm right), while the second is based upon the new Mighty Empires Set: http://www.games-workshop.com/gws/catalog/productDetail.jsp?prodId=prod1050157&rootCatGameStyle=.

As ME was written for Warhammer Fantasy there were some adjustments needed for Warmaster. That's what the second file was for.

We've played the new ME rules (with my own adjustments for WM) at the "Plain of Battles" campaign last year. And they prevailed. https://sites.google.com/site/plainofbattle/

We used the campaign rules of the new ME last year for the WM campaign in Paris, and this proved to work very well.
What I like a lot is that it puts the empashis on playing battles rather than the campaign mechanisms.
